MODN Limited – Terms of Trade

1. Definitions
1.1 MODN Living: Refers to MODN Limited (trading as MODN Living) supplying products and/or services.
1.2 Products: Includes blinds, curtains, shutters, flyscreens, Ziptrak outdoor blinds, window tinting or films, and any other goods supplied through MODN Limited to you.
1.3 Services: Includes consultation, measure and quote, delivery, installation, repairs, and associated work.
1.4 Quote: An offer made to supply products/services at a stated price.
1.5 GST: Goods and Services Tax applicable in New Zealand.
2. Quotes
2.1 Quotes are valid for 30 days from the date issued unless stated on the quote (quote expiry date section) otherwise.
2.2 Quotes based on plans or client measurements are subject to on-site check measures unless waived in writing.
2.3 All pricing for products and services is subject to change without notice. MODN Limited reserves the right, at its sole discretion, to amend pricing for any product or service at any time.
2.4 Notwithstanding clause 2.3, the price stated in a valid quote is fixed for 30 days from the date the quote is issued (or until the quote’s stated expiry date, whichever is earlier), provided the order is accepted within that period and the scope of work has not changed.
2.5 Pricing for the same product (for example, the same blind, curtain, or shutter type) may differ between quotes or customers. Not all windows and doors are standard, and some installations require additional site work, custom fabrication, or additional time to complete correctly. Quoted prices reflect the specific requirements of each installation.
2.6 If, after a quote is issued, the scope of work, measurements, or site conditions differ from those on which the quote was based (including at check measure), MODN Limited may issue a revised price. Any revised price will be communicated to you before work proceeds.
3. Orders
3.1 Acceptance of a quote confirms an order. Standard turnaround times will begin from the date the quote is accepted. However, if a check measure is required, the turnaround time will instead commence from the date of the completed check measure. Please note that all timeframes are indicative and may be subject to change due to supplier delays, freight issues, or out-of-stock items.
3.2 Delivery and installation dates are estimates and subject to supplier/freight availability.
3.3 MODN Limited is not liable for delays outside its control.
4. Backorders & Product Availability
4.1 If a fabric is unavailable or out of stock at the time of ordering, we will advise you as soon as we are made aware of the estimated arrival of the product with the option to wait, change to a similar product, or cancel your order.
5. Corrections & Remakes
5.1 Notify us within 7 days of installation for any issues. We will inspect and, if appropriate, arrange a remedy.
5.2 Remakes/corrections are prioritized and timelines will be communicated.
6. Payment Terms
6.1 Unless otherwise agreed, the Seller requires a deposit of 50% of the quote total value before commencing the order. Paying the deposit signifies the buyer’s acceptance of our Terms and Conditions.
6.2 The balance of payment is then due within seven days, or a 2.5% interest rate per month will apply. All goods remain the property of MODN Limited until paid in full.
6.3 Any expenses, costs, or disbursements incurred by MODN Limited in recovering any outstanding monies, including debt collection agency fees or solicitor’s costs, shall be paid by the client.
6.4 For supply-only orders, payment is required before collecting the order.
6.5 Buyers cancelling orders after the order has been processed will be liable for any restocking fees or labour costs incurred. It is not possible to cancel an order once the fabric has been cut.
6.6 If installation is delayed at the Buyer’s request for more than two weeks, 10% of the value of the job may remain unpaid until the job’s completion. The remaining invoice value will be subject to the regular payment terms of payment in full once the installation has been completed.
6.7 If MODN Limited is liable for any damage caused during installation, a written quote must be provided for the work required to complete the repairs and a written purchase order for the value will be provided.
7. Warranty
7.1 Workmanship: Workmanship on made-to-measure products (blinds, curtains, shutters, flyscreens, Ziptrak blind) is covered for 2 years.
7.2 Installation: Installation workmanship is guaranteed for 2 years.
7.3 Blinds: The Seller guarantees to repair or replace any faulty blind or component as per the warranty period specified for each individual product, typically ranging from 2 to 5 years. This warranty schedule is available upon request. All hardware items such as chain winders, chains, and cords are covered by a 2-year warranty. Fabric is covered for fading under a 5-year warranty. Motors are covered under 3 years of warranty. Please note that fraying is not considered a manufacturing fault, as it commonly results from the chain rubbing against the fabric edge due to improper operation—such as pulling the blind off-centre. Excessive charging sometimes damages the motor and its ability to show if the motor is fully charged.
7.4 Fading Claims: No claims for faded fabrics on leading edges of curtains or Roman blinds that have been exposed to direct sunlight are able to be recognized.
7.5 Venetian Blinds: These blinds are not designed to be lifted and lowered every day and are intended to remain down and tilted only. Sagging is not recognized as a product fault if the blind is lifted and lowered on a regular basis.
7.6 Aesthetic Performance: Sometimes Roller blind fabric can “Vee” or “Cup” interrupting visual aesthetics. This is intrinsic with roller blind fabric and perfectly normal.
7.7 Imperfections: We use the guidelines provided by the Blind Manufacturers Association of Australia which is one that is accepted by the industry and is seen as a “reasonable” test for looking at a perceived fault. The acceptable guideline for imperfections, marks, dots etc. on completed product is: If an imperfection is visible with the naked eye in natural daylight at a distance of 1.2 metres, it is not acceptable. If an imperfection is not visible with the naked eye in natural daylight at a distance of 1.2 metres it is acceptable.
7.8 Outdoor blinds and wind: Ziptrak® outdoor blinds or any other type of outdoor blinds sold to you through MODN Limited are engineered to be durable and withstand moderate wind conditions; however, they are not indestructible. We strongly advise against leaving your outdoor blinds down during high winds or storms. Wind damage is not covered under the product warranty.
7.9 Clear PVC outdoor blinds: Clear PVC used in outdoor blinds may naturally develop a white or cloudy appearance over time. This is an inherent characteristic of the material and not considered a product fault.
7.10 Dulux Powdercoat warranty: Standard powder coat range is Duralloy which has 5 years of warranty against rusting and Duratec comes with 10 years of warranty against rusting (provided locations of the screens/house is over 100m from the coast line).
8. Compliance with Samples
8.1 There may be a slight colour variation between batches of fabric, for example between the sample and the physical product supplied. If you require an exact match, we will provide a sample cutting of current stock on request.
9. Fabric & Tinting Care
9.1 In New Zealand, we have some of the strongest sunlight in the world and with our extreme UV rating, customers should be aware of certain precautions when selecting window furnishings. All fabrics, regardless of the dyes used, will deteriorate under direct sunlight or reflected ultraviolet light. A sunscreen blind is recommended behind curtains or Roman blinds that are going to be in direct sunlight. A superior quality lining is always recommended – advice on this is available upon request.
9.2 Leading edges of curtains (those facing the windows) are particularly vulnerable to sunlight degradation. To help reduce this effect, it is recommended that curtains be rotated periodically, i.e. – the left-hand curtain swapped to the right-hand position.
9.3 Ensure sufficient stacking either side of your window is achieved to reduce direct sunlight when drawing the curtains off the window during the day. The heat between your curtain and the window can be severe when curtains are closed in sunlight, and this can cause fading and damage to the fabric.
9.4 Films may show dust or tiny particles during installation; these are within manufacturer specs unless they impair function or visibility.
9.5 Coated fabrics: The coating itself will last indefinitely if well-maintained. Please note that the warranty does not cover general wear and tear, such as scratching or rubbing against furniture. Additionally, while the backing performs well in dry, warm environments, high moisture levels or wet windows can lead to mould, which is also not covered under the warranty.
9.6 Curtain sewing and workmanship warranty is covered for 2 years from the date of purchase.
10. Fabric Information
10.1 Fabrics are not a solid substance and can move due to atmospheric conditions. An acceptable industry standard allows for up to 3% movement in most fabrics and with certain others e.g., Acrylic, Polyester, Cotton, Linens, and Acetates, 5-6% shrinkage is considered normal.
10.2 Thermal and blockout coated fabrics/linings may show some daylight through the stitching, this is the nature of the coated fabric.

12. Liability
12.1 Our liability will not exceed the invoice amount (value of works completed).
12.2 We are not responsible for customers’ own measurements.
13. Intellectual Property
13.1 All intellectual property rights in the products and services provided by MODN Limited, including designs, trademarks, and trade names, remain the property of MODN Limited.
14. Dispute Resolution
14.1 In the event of any dispute arising out of or in connection with these terms of trade, the parties agree to first attempt to resolve the dispute through good faith negotiations.
14.2 If the dispute cannot be resolved through negotiation within 14 days, either party may refer the dispute to mediation. If the dispute is not resolved through mediation, it may be referred to arbitration in accordance with the Arbitration Act 1996 (NZ).
15. Amendments
15.1 MODN Limited reserves the right to amend these terms of trade at any time. Any amendments will be effective immediately upon being posted on our website or otherwise notified to the customer.
15.2 Continued use of our products or services after any such changes shall constitute your consent to such changes.
